1. Agreement to Terms

By accessing or using RetentionHealth's platform and services, you agree to be bound by these Terms of Service.

If you do not agree to these terms, you may not use the platform.

These Terms apply to all clinic partners participating in the RetentionHealth pilot or subsequent service offerings.

2. Service Description

RetentionHealth provides revenue stabilization tools designed to support subscription-based healthcare programs during early patient enrollment phases.

The current 8-week pilot program is structured to measure drop-off reduction through a side-by-side patient group comparison.

The platform is designed to:

  • Provide behavioral reinforcement tools
  • Deliver operational retention metrics
  • Support economic stabilization analysis

RetentionHealth does not replace clinical systems and does not function as a medical record system.

3. No Medical Advice

Important: RetentionHealth does not provide medical advice, diagnosis, or treatment.

The platform:

  • Does not replace licensed healthcare providers
  • Does not modify prescribed medication protocols
  • Does not provide dosing recommendations
  • Does not function as a clinical decision-making system

Clinic partners retain full responsibility for:

  • Medical supervision
  • Clinical oversight
  • Patient safety
  • Treatment decisions

All medical responsibility remains solely with the clinic and its licensed providers.

4. Pilot Program Terms

The pilot program is a structured validation initiative.

Participation:

  • Does not guarantee specific retention outcomes
  • Does not guarantee continuation beyond the pilot period
  • Does not create automatic renewal obligations

If measurable stabilization improvement is not demonstrated, either party may conclude participation at the end of the pilot term without long-term commitment.

Additional pilot terms may be specified in separate written agreements.

5. Clinic Partner Obligations

Clinic partners agree to:

  • Maintain all required professional licenses
  • Obtain appropriate patient consents
  • Comply with applicable healthcare laws and regulations
  • Maintain clinical oversight of patient care
  • Use the platform for lawful purposes only
  • Accurately represent the capabilities of the platform

Clinic partners are responsible for ensuring regulatory compliance within their own practices.

6. Data Handling and Ownership

During the pilot phase:

  • RetentionHealth does not collect or store Protected Health Information (PHI)
  • No patient-identifiable medical records are maintained
  • Measurements are conducted at an aggregated group level

Clinic partners retain ownership of their patient records and clinical data.

RetentionHealth processes limited operational data solely to provide the stabilization services described.

Data practices are further described in the Privacy Policy.

7. Compliance and HIPAA

During the pilot phase:

  • No Protected Health Information (PHI) is handled
  • No Business Associate Agreement (BAA) is required

A Business Associate Agreement (BAA) is a legal contract required when a service provider handles patient-identifiable health information under HIPAA regulations.

If services expand beyond pilot scope to include PHI handling, appropriate BAAs will be executed at that time.

8. Fees and Payment

Pilot pricing and service fees are established through separate written agreements with clinic partners.

Payment terms, invoicing schedules, and billing arrangements are defined in those agreements.

Failure to remit payment may result in suspension of access.

9. Intellectual Property

RetentionHealth retains all rights, title, and interest in:

  • Platform software
  • Algorithms
  • Stabilization methodologies
  • Documentation and materials

Clinic partners are granted a limited, non-transferable license to use the platform for internal operational purposes only.

10. Service Availability

RetentionHealth strives to maintain reliable platform access but does not guarantee uninterrupted service.

Scheduled maintenance will be communicated when reasonably possible.

11. Limitation of Liability

To the maximum extent permitted by law, RetentionHealth shall not be liable for:

  • Medical outcomes
  • Clinical decisions
  • Patient health results
  • Indirect or consequential damages
  • Lost revenue or business interruption

Total liability shall not exceed the fees paid by the clinic partner during the preceding 12 months.

12. No Guarantees

RetentionHealth does not guarantee specific revenue increases, retention improvements, or patient engagement outcomes.

Results depend on clinic participation, patient compliance, and operational implementation.

13. Termination

Either party may terminate services in accordance with the terms set forth in individual service agreements.

Upon termination, access to the platform will be discontinued.

Operational data retention and deletion practices will follow the Privacy Policy.

14. Modifications to Terms

RetentionHealth reserves the right to modify these Terms of Service.

Material changes will be communicated to clinic partners with reasonable notice.

Continued use of the platform after modification constitutes acceptance of updated terms.

15. Governing Law

These Terms are governed by the laws of the State of Colorado.

Any disputes shall be resolved in the courts located within Colorado.
